These Terms of Service ("Terms") govern your access to and use of Closeloop (the "Service"), provided by Vestry LLC ("Vestry," "we," "us"). By creating an account or using the Service, you agree to these Terms.
Closeloop is intended for licensed real estate agents, brokers, and their teams. You must be at least 18 years old and able to form a binding contract to use the Service.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.
You agree not to: (a) use the Service for any unlawful purpose; (b) upload content you do not have the right to share; (c) attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service; or (d) use the Service to send unsolicited communications in violation of applicable law.
You retain ownership of the client, transaction, and contract data you upload to Closeloop ("Your Content"). You grant us a limited license to process Your Content solely to provide and improve the Service, including AI-assisted contract extraction and vendor recommendations. You are responsible for ensuring you have the necessary rights and consents to upload client data.
Closeloop uses third-party AI models (including Anthropic's Claude) to power contract scanning, vendor generation, and market insights. AI-generated output may contain errors. You are responsible for independently verifying critical dates, terms, and figures before relying on them in a real estate transaction.
The Service integrates with third-party providers, including Supabase, Stripe, Anthropic, and GoHighLevel. Your use of those integrations is also subject to the applicable third party's terms.
We may suspend or terminate your access to the Service for violation of these Terms or for non-payment. You may stop using the Service and cancel your subscription at any time.
The Service is provided "as is" without warranties of any kind. Closeloop is a transaction management tool, not a substitute for legal, financial, or professional real estate advice. Always verify contract deadlines and terms against your signed agreements and applicable state law.
To the maximum extent permitted by law, Vestry LLC will not be liable for indirect, incidental, or consequential damages arising from your use of the Service.
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
